Company Executives Shouldn’t Lead Boards

Corporate boards should be led by directors independent of management, and members should be restricted as to how many boards they can serve on, according to recommendations in a report released Tuesday.

A study by the National Association of Corporate Directors said appointing a non-executive chairperson would ensure that boards can effectively execute their critical functions, including evaluating a company’s CEO.

Chief executives currently are in charge of board activities at most companies.

The report also suggested that individuals serve on no more than six boards and that boards should consider term limits of 10 to 15 years for directors in order to prevent over-commitment.

The report was drawn up by 30 prominent executives, corporate experts and advocates for shareholders.
